Affiliate Program Terms & Conditions

Please read these terms carefully before joining the Serpelo Affiliate Program.

1. Introduction

These Affiliate Program Terms and Conditions ("Agreement") govern your participation in the Serpelo Affiliate Program ("Program") operated by Serpelo ("Company", "we", "us", or "our"). By registering for or participating in the Program, you ("Affiliate", "you", or "your") agree to be bound by this Agreement.

This Agreement is in addition to any other agreements between you and Serpelo, including our general Terms of Service and Privacy Policy.

2. Eligibility

To participate in the Program, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have a valid website, blog, social media presence, or other digital platform
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations in your jurisdiction

We reserve the right to accept or reject any affiliate application at our sole discretion. We may also terminate your participation at any time if you violate these terms.

3. Commission Structure

As a Serpelo affiliate, you earn commissions based on the following structure:

You earn a 30% commission on any Serpelo product purchase made using your unique affiliate coupon code.

3.1 How Commissions Are Earned

  • Commissions are earned when a customer makes a qualifying purchase using your unique coupon code
  • The 30% commission applies to eligible Serpelo products including plan subscriptions and lifetime deals. Certain products (such as AI token packs) may be excluded at our discretion
  • For recurring subscriptions, you earn the commission on each renewal payment as long as the customer remains active

3.2 Commission Exclusions

  • Self-referrals: Purchases made by you through your own coupon are not eligible for commission
  • Fraudulent or manipulated transactions
  • Refunded or chargebacked orders (commissions are reversed)
  • Transactions that violate our Terms of Service

4. Coupon Code & Tracking

Upon approval, you will receive a unique affiliate coupon code. This code is used to track purchases attributed to your referrals.

  • Your coupon code is unique to you and must not be shared with other affiliates
  • Only purchases made using your valid coupon code will be tracked and credited to your account
  • You are responsible for distributing your coupon code through your own promotional channels
  • We may also provide you with affiliate referral links with a 60-day cookie tracking window

5. Payment Terms

5.1 Minimum Payout

The minimum payout threshold is $50 USD. Commissions below this threshold will roll over to the next payment cycle until the minimum is met.

5.2 Payment Schedule

Payouts are processed monthly, within the first 10 business days of each month for the previous month's finalized commissions.

5.3 Refund Grace Period

All commissions are subject to a 30-day hold period from the date of purchase. This accounts for our refund policy. If a customer requests a refund within 30 days, the associated commission is reversed.

5.4 Payment Method

Commissions are paid via bank transfer. You are responsible for providing accurate banking details in your affiliate dashboard. We are not liable for failed payments due to incorrect banking information.

5.5 Taxes

You are solely responsible for any taxes applicable to your affiliate earnings. Serpelo does not withhold taxes on your behalf. You may be required to provide tax-related documentation depending on your jurisdiction.

6. Promotional Guidelines

You may promote Serpelo through any legitimate and ethical means, including but not limited to:

  • Blog posts, articles, and product reviews
  • Social media posts on platforms such as Twitter/X, Facebook, LinkedIn, Instagram, etc.
  • YouTube videos, tutorials, and walkthroughs
  • Email newsletters (only to your own opted-in subscribers)
  • Podcast mentions and recommendations
  • Guest posts on third-party websites

6.1 Prohibited Promotional Methods

The following promotional methods are strictly prohibited:

  • PPC on branded terms: Running paid search ads (Google Ads, Bing Ads, etc.) that bid on "Serpelo", "Serpelo SEO", or any variation of our brand name
  • Spam: Sending unsolicited emails, messages, or comments to promote your affiliate link or coupon
  • Misleading claims: Making false, exaggerated, or unsubstantiated claims about Serpelo's features, pricing, or capabilities
  • Cookie stuffing: Using hidden iframes, pop-unders, or any technique to artificially set tracking cookies
  • Trademark misuse: Registering domain names that include "Serpelo" or creating websites that impersonate Serpelo
  • Incentivized clicks: Offering rewards, cash back, or other incentives solely for clicking your affiliate link
  • Adult, violent, or illegal content: Placing affiliate links on websites containing such content

6.2 Disclosure Requirements

In accordance with FTC guidelines and similar regulations worldwide, you must clearly disclose your affiliate relationship with Serpelo in any content where you promote our products. Examples of acceptable disclosures include:

  • "This post contains affiliate links. I may earn a commission if you make a purchase."
  • "Disclosure: I am a Serpelo affiliate and may earn commissions on sales."

7. Use of Serpelo Brand Assets

We may provide you with approved marketing materials such as banners, logos, and email templates. When using our brand:

  • Use only the official materials provided through your affiliate dashboard or by our team
  • Do not alter, distort, or modify our logo or brand assets
  • Do not use our brand in a way that implies endorsement, partnership, or employment beyond the affiliate relationship
  • Do not use our brand in any way that could damage our reputation

8. Term & Termination

8.1 Term

This Agreement begins when your affiliate application is approved and continues until terminated by either party.

8.2 Termination by You

You may terminate your participation at any time by contacting us or deactivating your affiliate account. Any unpaid commissions above the minimum payout threshold will be paid in the next payment cycle.

8.3 Termination by Serpelo

We may terminate your participation immediately and without prior notice if:

  • You violate any provision of this Agreement
  • You engage in fraudulent or deceptive activity
  • You use prohibited promotional methods
  • Your account is inactive for more than 12 consecutive months
  • We discontinue the Program entirely

8.4 Effect of Termination

Upon termination, all rights granted to you under this Agreement cease immediately. Commissions earned and finalized before termination will be paid according to our standard payment schedule, provided the minimum payout threshold is met. Unpaid commissions below the minimum threshold are forfeited upon termination for cause (violation of terms).

9. Intellectual Property

All Serpelo trademarks, logos, content, software, and other intellectual property remain the sole property of Serpelo. This Agreement does not grant you any ownership rights. The limited license to use our brand assets is revocable and solely for the purpose of promoting Serpelo as part of this Program.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Serpelo is not liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program
  • Our total liability to you shall not exceed the total commissions paid to you in the 12 months preceding the claim
  • We are not responsible for technical issues, downtime, or tracking errors beyond our reasonable control

11. Confidentiality

You agree to keep confidential any non-public information shared with you as part of the Program, including but not limited to commission rates, conversion data, upcoming product launches, and internal communications. This obligation survives termination of this Agreement.

12. Modifications to This Agreement

We reserve the right to modify these terms at any time. Changes will be communicated via email or through your affiliate dashboard. Continued participation in the Program after changes are posted constitutes your acceptance of the modified terms. If you disagree with any changes, your sole remedy is to terminate your participation.

13. Governing Law & Disputes

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be resolved through good-faith negotiation first. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts in India.
